This session includes the process of identifying, selecting and recruiting board members. This involves matters such as the size of the board, identifying the required skills, experience and competences, promoting diversity whilst safeguarding meritocracy, the influence of a major shareholder or owner. This session will also address the transition from appointment to entering the boardroom for the first time: induction, board charter, terms of service and remuneration.

Session Two: How to bring the best out of the Board?
This session encompasses the wide range of measures and approaches which promote board effectiveness. This includes enhancing positive board dynamics and maximising the individual and collective capital of the directors, both executive and non-executive, independent and non-independent, in performing their role and meeting their responsibilities.

The discussion will also cover matters such as key board relationships, such as with its Chairman, shareholders, other stakeholders, auditors, board committees, the CEO (separation of chairman and CEO) and management. We will also look at practical ways to enhance board meetings and discussions through the quality of the agenda, papers, presentations, information flow, site visits and the conduct of the meetings themselves.

Session Three: How to protect the Board?
This session will examine the ways to safeguard the Board against liability and non-compliance. It will also address how Boards can effectively oversee the identification, management, mitigation and avoidance of risk. At the practical level, we should also assess the importance and the limitations of directors’ liability insurance and the rights of directors to indemnity from their company.

Session Four: How to build tomorrow’s Board?
Boards are dynamic entities - no Board should ever be static, and no Board can isolate itself from change to itself, to its responsibilities, to the expectations of stakeholders and to the society within which it must operate. In this final session we will look ahead to the demands, the opportunities, challenges and expectations of and on Boards in the years to come.

This session will tackle issues such as growing demands on Boards in areas such as environmental and social performance, the implications of new technology such as AI on board operation, the impact of social media and the additional competences which Boards may need.

We will also consider Board improvement through ongoing training, succession planning, rotation of directors and the challenging subject of meaningful board evaluations.
